Please initial below after you have read, understood and agreed to the following User Agreement between you and ReliaBid, Inc.:

USER AGREEMENT 

This User Agreement ("Agreement") is between each user of this site ("Member," User" or "You"), and ReliaBid, Inc., ("ReliaBid"), a Delaware corporation.   This Agreement governs your use of ReliaBid's website, www.reliabid.com (the "Site") and your use of ReliaBid's Seal (the "Seal"). 

PLEASE BE ADVISED THAT YOU ARE REQUIRED TO ELECTRONICALLY SIGN ("EXECUTE") THIS AGREEMENT AT THE BOTTOM OF THIS PAGE.  BY SO SIGNING, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS.  FAILURE TO SIGN THIS AGREEMENT INDICATES THAT YOU DO NOT AGREE TO THE TERMS.  

Section 1.	License to Seal  

1.1	Grant of License. Upon the terms and conditions set forth herein, ReliaBid hereby grants to the Licensee a non-exclusive, world-wide License to use the ReliaBid's Site and Seal.  Use of the Seal shall be limited to displaying the Seal in accordance with the requirements set forth by ReliaBid and this Agreement.   ReliaBid retains the right to insert the Seal through its web-based computer system (the "System") for display by you, and you hereby agree that you shall not attempt to display or otherwise use the Seal in any manner except as and when so inserted by ReliaBid.  You may not sublicense your right to display the Seal conveyed under this Agreement.   ReliaBid shall remain the sole and exclusive owner of the Seal including all rights and shall remain the beneficiary of all rights and benefits flowing from such ownership.  

1.2	Nature of Seal.  The Seal shall be in the form of a graphic containing the ReliaBid logo along with the user name and the specific auction number of the auction for which ReliaBid's System has inserted the Seal.   ReliaBid may change the form and substance of the Seal time to time with notice to you.  

1.3	Changes to Seal.  You agree that you shall not modify the Seal in any manner whatsoever, including, but not limited to, modifications to the, shape, color, text content or any other aspect of the Seal.  The Seal shall be displayed in the exact form and substance as when inserted by ReliaBid.  

1.4	Restrictions on Use.  You may not display the Seal in any manner which would violate applicable laws, or would infringe on the rights of ReliaBid or any third party.  ReliaBid reserves the right to terminate this Agreement for your breach of this or any other section of this Agreement.    

1.5	Limitation.  No license, immunity or other right is granted by implication or otherwise with respect to any other trademark, patent or patent application other than the use of the Seal as set forth in Section 1.1. 

1.6	Registration.  Within 10 days of your execution of this Agreement, you shall complete the registration process at ReliaBid's website by submitting information requested by ReliaBid (the "Registration").   Upon execution of this Agreement, you will receive an email with a link that will take you to the ReliaBid website where you may complete the Registration.   The information requested in the Registration shall include your name, all contact information, credit card type and number, name and expiration thereon, username for the auction site on which you list auctions you wish to have ReliaBid display the Seal ("Your Information").  You are responsible for keeping Your Information updated in the member's section of the Site. You hereby represent and warrant that Your Information will be true. You hereby grant ReliaBid perpetual, irrevocable, non-exclusive, licenses and copyrights sufficient to store, publish and display your individual auction content. You agree to respond immediately to all requests by ReliaBid to confirm and/or update your information.  ReliaBid reserves the right to terminate your license to use the Seal in the event you fail to provide, update or confirm Your Information.  You hereby agree that ReliaBid may share Your Information with any third party deemed by ReliaBid, in its sole discretion, to be necessary and appropriate for achieving the purposes of this Agreement.  Failure to complete the Registration within 10 days of your execution of this Agreement shall automatically terminate this Agreement including the right to display the Seal.  Subsequently, there shall be no further obligation to either party under this Agreement.  

1.7	License Fee/Seal Display  Fee.  You shall be assessed a monthly fee for the right to display the Seal ("Fee").  The Fee shall be assessed based upon the number of times the Seal was actually inserted by ReliaBid into your auctions plus the number of collections you request.  The Fee is calculated using the schedules located at:

You hereby authorize ReliaBid to charge the Fee each month to the credit card account you provide in the Registration.  ReliaBid may change its fees from time to time with fifteen (15) days prior electronic mail notice or by posting such notice in the members' area of the Site.  Your continued use of the Site and/or ReliaBid's services shall constitute your acceptance of the price changes.  In the event you require debt collection services, you hereby agree to pay the fees for all such services directly to the party providing such services.  ReliaBid is not a debt collection agency.   

1.8	Term and Termination of License.  The term of this license and the right to display the Seal contained hereunder shall commence upon your electronic signature  conveying acceptance of this Agreement.  Such term shall continue until terminated by either party for any reason with ten (10) days notice.  You shall pay ReliaBid the entire unpaid balance in your account within fifteen (15) days of termination of the agreement for any reason, by either party.  

1.9	Use of the Site and Seal.  Your use of the Seal is limited to displaying the Seal in the exact form, place and time designated by ReliaBid when the Seal is inserted by ReliaBid's System.  You shall not attempt in any way to display the Seal in any other manner or place other than as inserted by ReliaBid.  In connection with your use of the Site and Seal, you agree to conduct yourself in a legal and ethical manner and to keep your information on the Site updated at all times.  You also agree that you will not use any materials on the Site or the Seal in a manner which would infringe in any way on ReliaBid's intellectual property rights.  Further, you agree not to use the Site to violate state or federal laws in any way, or to harass or otherwise interfere with the rights of third parties.  

Section 2.	Indemnification.  You, to the maximum extent permitted by law, shall defend, protect, indemnify and hold harmless ReliaBid and its respective officers, employees and agents ("Indemnified Parties"), against all claims, demands or causes of action, suits, damages, liabilities, judgments, losses and expenses (including, without limitation, attorney's fees and costs of litigation, mediation and/or arbitration, whether incurred for an Indemnified Party's primary defense or for enforcement of its indemnification rights) which may be incurred by an Indemnified Party or asserted by any third party caused by, arising out of, or in any way incidental to or in connection with, actions or omissions by you (including, without limitation, your employees, contractors and agents) including those related to your use of the Site, the Seal, your activities on any third-party site, and your failure to accurately, truthfully and timely file information required by ReliaBid pursuant to Section 1.6 of this Agreement.  The Indemnified Parties expressly reserve the right to participate in their defense with counsel of their own choosing.  Your obligations under this Paragraph shall survive the expiration, termination or non-renewal of this Agreement.

Section 3.	Limitations as to Damages and Release.  To the extent permitted by law, ReliaBid shall not be responsible for any consequential, indirect, incidental, special or punitive damages arising out of this Agreement and to the extent that damages are assessed, they shall not exceed the value of the fees paid by you for the twelve (12) months immediately preceding the date of the earliest event giving rise to the claim pursuant to which the damages have been awarded.  You hereby release ReliaBid, its officers, directors, agents, subsidiaries, joint ventures and employees from claims, demands and damages of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."


Section 4.	Warranty Exclusion.  No representation or warranty has been made by ReliaBid that the use of the Seal under this Agreement is free from the patent, trademark  or copy rights of others.  ReliaBid shall not be liable to you for any damages or losses you suffer as a result of claims for infringement by others for your use of the Seal or Site.  The use of the Seal and Site are provided to you pursuant to this Agreement on an "as is" basis and, as such, ReliaBid disclaims, to the extent permitted by law, any implied warranties, including those of fitness for a particular purpose, merchantability or title.  ReliaBid's System will be in operation as much as possible, but shall go down expectedly or unexpectedly for a variety of foreseen or unforeseen reasons.  No warranty is made as to availability of the Seal, System or the Site, and no refund or damages shall be paid by ReliaBid for such down-time.  The System will search for new auctions of items in which you are a seller on a two-hour basis. If the System detects the auction of a new item, it will insert the ReliaBid Seal.  You understand, however, that if an auction has had bids placed prior to the System's detection of it, the System will not be able to insert the Seal into the auction of that item.  Consequently, you are urged to manually request the Seal at ReliaBid's Site immediately after placing an item for auction if you suspect that you may receive bids for that auction within the first two hours of its listing.  

Section 5.	Recordkeeping.  The Site shall automatically determine the number of times the Seal was actually inserted into your auctions in any given period, as well as the resulting Fee to be charge by ReliaBid to your credit card account each month.  You hereby agree that such determination by the Site shall be conclusive evidence of your utilization of the Seal and the amounts due therefor.  

Section 6.	Notices.  Any notices permitted or required under this Agreement shall be deemed given upon the date of delivery by electronic mail or by posting in a registered user's section of the Site if such notice is to you, or by certified mail to ReliaBid, PO Box 516, Arlington, VA 22216, if to ReliaBid.  

Section 7.	Waiver.  The waiver by either party of the breach of any provision of this Agreement by the other party shall not operate or be construed as a waiver of any subsequent breach.

Section 8.	Law Governing.  This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware.

Section 9.	Venue.  The parties to this Agreement agree that any action on this Agreement shall be brought in a court of competent jurisdiction located in the Commonwealth of Virginia.

Section 10.	Arbitration.  If at any time during the term of this Agreement any dispute, difference or disagreement shall arise upon or in respect of the Agreement, and the meaning and construction hereof, every such, dispute, difference and disagreement involving an amount not exceeding $2,500.00  shall be referred to a single arbiter agreed upon by the parties, or if no single arbiter can be agreed upon, an arbiter or arbiters shall be selected in accordance with the rules of the American Arbitration Association and such dispute, difference or disagreement shall be settled by arbitration in accordance with the then prevailing commercial rules of the American Arbitration Association, and judgment upon the award rendered by the arbiter may be entered in any court having jurisdiction thereof.  Venue for arbitration and any subsequent court filing for judgment upon the award shall be brought in Virginia.   

Section 11.	Agreement Binding.  This Agreement shall be binding upon the heirs, executors, administrators, successors and assigns of the parties hereto.

Section 12.	Further Action.  The parties hereto shall execute and deliver all documents, provide all information and take or forbear from all such action as may be necessary or appropriate to achieve the purposes of this Agreement.

Section 13.	Parties in Interest.  Nothing herein shall be construed to be to the benefit of any third party, nor is it intended that any provision shall be for the benefit of any third party.

Section 14.	Savings Clause.  If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall not be affected thereby.

Section 15. 	Force Majeure.  Unless otherwise expressly provided for in this Agreement, failure (in whole or in part) or delay on the part of either party in the performance of any of the obligations imposed upon such party under this Agreement shall be excused and such party shall not be liable for damages or otherwise, when such failure or delay is the direct or indirect result of any of the following causes:  acts of God, earthquakes, power outages, reductions in electronic bandwidth for any reason, fire, flood, or the elements, malicious mischief, insurrection, riot, strikes, lockouts, boycotts, picketing, labor disturbances, public enemy, war (declared or undeclared), terrorist attack, compliance with any federal, state or local law, or with any regulation, order, rule, recommendation, request or suggestion of governmental agencies.  Nothing contained in this section shall excuse you from payment for past usage of the Seal under this Agreement.  

Section 16.	Representations.  You hereby represent that that you are at least 18 years of age, a legal resident of the United States, and are otherwise capable of entering into this Agreement.   

Section 17.	Electronic Signatures. The Uniform Electronic Transactions Act, as adopted in 1999 and applied in the State of California Code shall apply with regard to your execution of this Agreement and to the subsequent submission of the Registration and any other documents or agreements electronically submitted in the course of the parties' relationship pursuant to this Agreement.   

Section 18. 	Changes to Agreement.  The terms of this Agreement and any and all documents and process referred to in this Agreement may be changed by ReliaBid from time to time with fifteen (15) days prior electronic mail notice or by posting in a registered user's section of the Site.  Your continued use of the Site and/or ReliaBid's services shall constitute your acceptance of the changed terms.  

Section 19. Legal Compliance.  You shall comply with all applicable state and federal laws, regulations, ordinances and statutes which govern your use of the Site and Seal.  You understand that ReliaBid is not responsible for collecting money on your behalf.  You further understand that ReliaBid is not a collection agency but that it merely provides a vehicle designed to improve the integrity of the online auction model.  Other services designed to promote this end shall be offered from time to time.  You shall be under no obligation to utilize such new services.

Please initial below after you have read, understood and agreed to the following agreement between you and the participating debt collection agency, General Outsourcing Services, Inc.:

Terms of Service

This Agreement is entered into effective the date of your enrollment in the ReliaBid service, by and between you, a ReliaBid member ("You"), and General Outsourcing Services, Inc. ("GOS").

Section 1.  You  authorize "GOS" to provide receivable management services on your behalf. These services will consist of the production and mailing of receivable management letters, not to exceed four (4) in number, to be sent to the winning bidder(s) of auctions of the clients who fail to pay the bid price and consummate the online transaction ("Non-Paying Bidder"). 

Section 2.  GOS will attempt to recover the full sum of the winning bid, including all applicable shipping & handling fees and taxes, from the specified Non-Paying Bidder in the first three (3) letters of the receivables management service. In the event that the Non-Paying Bidder fails to make full-payment within thirty (30) days of your submission of an item to GOS for receivables management services, , a fourth (4th) letter shall be sent. The fourth (4th) letter shall seek payment of the "RESTOCKING FEE" as specified under the "Terms of Sale" within your online auction. The RESTOCKING FEE shall be equal to the sum of ten dollars ($10.00) plus twenty percent (20%) of the auction closing price, with a cap of five hundred dollars ($500.00).

Section 3.  You warrant that if full payment is received from Non-Paying Bidder prior to all of the receivable management services described above being performed or completed, no further receivable management services shall be performed with respect to said Non-Paying Bidder in relation to that account. You also warrant that You will notify GOS within 24 hours of receipt said payment through the ReliaBid system

Section 4.  You warrant and represent that You will ensure that the item that was purchased by Non-Paying Bidder will be available for delivery to Non-Paying Bidder in the event that they make full-payment to You within thirty (30) days of placement of account to GOS. You also warrant and represent that You will deliver the item(s), as set forth in the terms of the auction. FAILURE TO DO SO WILL SUBJECT YOU TO LEGAL LIABILITY

Section 5.  If the Non-Paying Bidder fails to pay the RESTOCKING FEE within thirty-one (31) days of the fourth (4th) letter, GOS may, at its sole discretion, report the outstanding obligation or delinquency to credit reporting bureaus if such reporting is available. The RESTOCKING FEE must amount to at least $50.00 for the item to be eligible for credit bureau reporting. GOS makes no representations or warranties as to whether credit reporting shall be an available option. 

Section 6.  In the event the Non-Paying Bidder remits payment of the RESTOCKING FEE to GOS or to You, GOS shall assess You with a fee equal to twenty-five percent (25%) of the "RESTOCKING FEE" paid. In the event that payment is remitted directly to You, You are responsible for reporting this information directly to GOS, and to submitting payment in the form of a check to GOS within 15 days of your receipt of payment.

Section 7.  In the event that credit reporting is an available option for an account placed with GOS, You will be notified of this through the ReliaBid system and will be required to authorize GOS to report the account to the credit bureaus ("Authorization"). Your Authorization sanctions GOS to report all accounts to one or more credit reporting agencies.

Section 8.  You shall provide to GOS, through the ReliaBid system, each Non-Paying Bidder�s name, city and state of residence and telephone number. GOS shall utilize Accurint skip tracing services (or a substantially similar service) to find a matching mailing address for the Non-Paying Bidder. If no satisfactory address can be found, no further services under this agreement will be provided regarding said Non-Paying Bidder.

Section 9.  The receivable management services specified under Section 1 of this Agreement will be automatically charged to your account with ReliaBid, with the exception of the additional charged set forth in Section 6 of this Agreement, which represents 25% of the RESTOCKING FEE.

Section 10.  Funds received by GOS from Non-Paying Bidders and payable to You will be deposited by GOS into its bank account within 24 hours of receipt. You hereby provides GOS with a limited power-of-attorney allowing GOS to endorse and negotiate received checks and drafts made payable to You for deposit into GOS� bank account. 

Section 11.  Funds received on behalf of You, less any applicable RESTOCKING FEE, NSF payments and fees, are remitted on a monthly basis, after the 15th day but before the 20th day of the following month in which payment is received. 

Section 12.  By submitting an account to GOS for servicing, You represent and warrant that all amounts owed by Non-Paying Bidder are in accordance with state, federal and local laws, statutes and regulations and are due and owing and not subject to any valid defenses. You shall hold GOS harmless and indemnify GOS for all costs and damages including reasonable attorney's fees as the result of your breach of the above provisions or as the result of any other action or inaction of You regarding any placed account.

Section 13.  Nothing contained in this Agreement shall be construed to create a partnership or employment relationship between the parties. GOS is, and shall remain, an independent contractor. The law of the State of California shall govern the enforcement and interpretation of this Agreement and the rights, duties, and obligations of the parties. If any of this Agreement is held to be void or unenforceable, such part shall be severable from the rest, leaving valid the remainder, notwithstanding the part or parts found to be void or unenforceable. This Agreement is and shall be binding upon and inure to the benefit of the parties hereto and successors and permitted assigns. The failure of any party at any time to insist upon strict performance of any condition, promise, agreement or understanding set forth herein shall not be construed as a waiver or relinquishment of the right to insist upon strict performance of the same condition, promise, agreement, or understanding at a future time.

Section 14.  This Agreement applies to all accounts placed with GOS by You through ReliaBid.
